Terms & Conditions

By accessing or using the Nistrax platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including businesses, their employees, and any other persons accessing the Service on behalf of an organisation.

Nistrax is a unified retail management platform developed and operated by Mero Vision Pvt. Ltd., registered in Nepal. The Service includes IRD-compliant billing, inventory management, multi-store control, offline operation capability, local payment integration, and related features as described on our website. Features may be updated, added, or removed at our discretion.

To use the Service you must register an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at hello@nistrax.com if you suspect any unauthorised access. Nistrax is not liable for any loss arising from unauthorised use of your account.

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis in Nepali Rupees (NPR) unless otherwise agreed. All fees are non-refundable except as required by applicable law or expressly stated in our refund policy. Nistrax reserves the right to change pricing with 30 days' prior notice.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) use the Service in any way that violates applicable Nepali or international laws; (b) attempt to gain unauthorised access to any part of the Service; (c) reverse-engineer, decompile, or disassemble any part of the platform; (d) use the Service to transmit unsolicited communications or malware; or (e) resell or sublicense the Service without our written consent.

All intellectual property rights in the Service — including software, design, trademarks, and content — are owned by Mero Vision Pvt. Ltd. or its licensors. These Terms do not grant you any right, title, or interest in or to the Service or its content beyond a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription period.

You retain ownership of all data you input into the Service ("Customer Data"). By using the Service, you grant Nistrax a limited licence to process Customer Data solely to provide the Service. We handle your data in accordance with our Privacy Policy. You are responsible for ensuring that your use of Customer Data complies with all applicable laws, including those relating to personal data of your customers.

Nistrax is designed to assist businesses in generating IRD-compliant bills and reports under Nepal's tax regulations. However, the ultimate responsibility for tax compliance rests with you. Nistrax does not provide tax, legal, or accounting advice. We recommend consulting a qualified professional for your specific compliance obligations.

To the maximum extent permitted by applicable law, Mero Vision Pvt. Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, data, or goodwill — arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the amounts paid by you in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. Nistrax does not guarantee the accuracy or completeness of any information provided through the Service.

You may cancel your subscription at any time through your account settings or by contacting us at hello@nistrax.com. Nistrax may suspend or terminate your access immediately if you breach these Terms or engage in activity that harms the platform or other users. Upon termination, your right to use the Service ceases, and we may delete your account and Customer Data in accordance with our data retention policy.

These Terms are governed by and construed in accordance with the laws of Nepal. Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
